Master Service Agreement

This Master Service Agreement ("Agreement") governs the professional consulting services provided by Build Certain Consulting, LLC ("Build Certain Consulting," "we," "our," or "us") to the client ("Client," "you," or "your").

By requesting services, scheduling a consultation, submitting information through our website, accepting an invoice, or purchasing any service offered by Build Certain Consulting, you acknowledge that you have read, understood, and agree to be bound by this Agreement and the Client Terms & Policies.


Scope of Services

Build Certain Consulting provides independent residential construction consulting services intended to help homeowners make more informed decisions during residential construction, renovation, and improvement projects.

Services may include, but are not limited to:

  • Project consultations

  • Quote Review Analysis

  • Contractor Verification

  • Project planning guidance

  • Educational construction consulting

  • Other consulting services offered by Build Certain Consulting

All services are consultative in nature and are based on the information provided by the Client and publicly available information available at the time services are performed.


Services Not Provided

Build Certain Consulting does not provide:

  • General contracting services

  • Construction management

  • Architectural services

  • Engineering services

  • Home inspections

  • Building code inspections

  • Legal advice

  • Financial advice

  • Real estate services

  • Permit expediting

  • Contractor supervision

  • Project management during construction

Our services are intended solely to provide independent consulting and educational guidance.


Independent Consulting

Build Certain Consulting is an independent consulting company.

We do not represent contractors, subcontractors, suppliers, manufacturers, insurance companies, lenders, or any other third party involved in your project.

We do not receive referral fees, commissions, kickbacks, incentives, or compensation from contractors or vendors in exchange for recommendations or referrals.


Client Responsibilities

The Client is responsible for providing complete and accurate information necessary to perform the requested services.

The Client remains solely responsible for:

  • Selecting contractors

  • Negotiating contracts

  • Reviewing contract documents

  • Obtaining permits

  • Hiring design professionals

  • Managing construction activities

  • Approving payments

  • Inspecting completed work

  • Making all final project decisions

Build Certain Consulting provides information to assist the Client's decision-making process but does not make decisions on the Client's behalf.


Reports and Recommendations

Any reports, analyses, summaries, observations, opinions, or recommendations provided by Build Certain Consulting are based upon:

  • Information provided by the Client

  • Documents submitted by the Client

  • Publicly available information available at the time of review

  • Professional experience and judgment

Reports are intended to assist the Client in evaluating available information and should not be interpreted as guarantees, certifications, warranties, or endorsements.


No Contractor Recommendations or Guarantees

Build Certain Consulting does not recommend, endorse, certify, approve, or guarantee any contractor, subcontractor, supplier, manufacturer, product, or service.

Contractor Verification services are limited to reviewing publicly available information and do not predict future performance, workmanship, financial stability, project outcomes, or business practices.

The Client remains solely responsible for selecting contractors and determining whether to enter into contractual relationships.


Limitation of Services

Our services are based solely upon the information available at the time they are performed.

Information may change after the completion of our services, including licensing status, business registrations, legal proceedings, insurance coverage, online reviews, and other publicly available information.

Build Certain Consulting has no obligation to monitor, update, or revise completed reports after delivery unless separately agreed upon in writing.


Acceptance of Agreement

By requesting services, submitting information through our website, scheduling a consultation, or purchasing any service from Build Certain Consulting, the Client acknowledges that they have read and agree to this Master Service Agreement and the Client Terms & Policies.

 

Terms of Service
 

These Terms of Service govern your access to and use of the Build Certain Consulting website, online forms, scheduling tools, reports, and consulting services.

By accessing this website or using any services offered by Build Certain Consulting, you agree to comply with these Terms of Service.

Clients are granted a limited, non-transferable license to use reports prepared specifically for their project for personal decision-making purposes only. Reports and other proprietary materials may not be reproduced, distributed, published, modified, sold, or used for commercial purposes without prior written permission from Build Certain Consulting.

 

Electronic Communications

By submitting information through our website, scheduling services, or communicating electronically with Build Certain Consulting, you consent to receive communications electronically, including invoices, service updates, reports, confirmations, and other business-related correspondence.

 

Modification of Services

Payment Terms

By requesting services from Build Certain Consulting, you agree to the following payment terms.


Pricing

Current pricing for all services is published on our website and may be updated periodically without prior notice.

Pricing changes will not affect services that have already been invoiced or purchased.


Payment Process

Most services follow the process below:

  1. The Client submits a consultation request or service request.

  2. Build Certain Consulting reviews the submission for completeness.

  3. A Square invoice is issued to the Client.

  4. Payment must be received before consulting services begin unless otherwise agreed in writing.

  5. Once payment is confirmed, work will begin on the requested service.


Accepted Payment Methods

Payments are securely processed through Square.

Accepted payment methods may include:

  • Credit Cards

  • Debit Cards

  • Other payment methods supported by Square at the time of purchase

Build Certain Consulting does not store or process payment card information directly.


Payment Due

Invoices are due upon receipt unless otherwise stated on the invoice.

Services may be delayed or canceled if payment is not received within the invoice period.


Additional Services

If the Client requests services beyond those originally purchased, including additional contractor reviews, additional quote analyses, additional consultations, or expanded project scope, additional fees may apply.

No additional work will be performed until the Client approves the additional services and any associated charges.


Bundle Discounts

Eligible bundled services may qualify for discounted pricing as published on our website or communicated by Build Certain Consulting.

Bundle discounts apply only to qualifying services for the same residential project and cannot be combined with other discounts unless approved by Build Certain Consulting.


Promotional Discounts

Build Certain Consulting may offer promotional pricing, introductory offers, returning client discounts, or other promotional discounts at its sole discretion.

Promotional discounts:

  • Have no cash value.

  • Cannot be applied retroactively.

  • May be modified or discontinued at any time.

  • Cannot be combined unless specifically stated.


Taxes

Prices shown on our website do not include any applicable taxes unless otherwise stated.

The Client is responsible for any taxes required by applicable law.


Chargebacks and Payment Disputes

If you believe an invoice or payment was processed incorrectly, please contact Build Certain Consulting before initiating a chargeback with your financial institution.

We are committed to resolving billing concerns promptly and professionally.

Fraudulent or unwarranted chargebacks may result in suspension or refusal of future services.


Right to Refuse Service

Build Certain Consulting reserves the right to refuse, suspend, or discontinue services for any lawful reason, including but not limited to:

  • Non-payment

  • Fraudulent activity

  • Abusive or threatening behavior

  • Repeated violation of these Client Terms & Policies

  • Requests that fall outside the scope of our services

Any applicable refunds will be handled in accordance with the Refund & Cancellation Policy.


Refund & Cancellation Policy
 

Build Certain Consulting strives to provide a fair and transparent refund policy while respecting the time reserved for each client and the work involved in preparing and delivering consulting services.

By requesting services from Build Certain Consulting, you agree to the following Refund & Cancellation Policy.

 

Project Consultations

Project Consultations may be canceled or rescheduled without penalty if requested at least 24 hours before the scheduled appointment time.

Clients who cancel at least 24 hours in advance are eligible for a full refund or may choose to reschedule their consultation.

Cancellations made less than 24 hours before the scheduled appointment, failure to attend a scheduled consultation, or failure to be reasonably available at the scheduled meeting time may result in a $25 cancellation fee. Any remaining balance paid will be refunded to the original payment method.

Build Certain Consulting reserves the right to waive this fee in cases involving emergencies or other circumstances at its sole discretion.

Quote Review Analysis

Because Quote Review Analysis involves the review of submitted documents and preparation of a customized report, work begins only after payment has been received.

Clients may request a full refund at any time before work has begun.

Once Build Certain Consulting has started reviewing documents, analyzing proposals, preparing reports, or otherwise performing the requested services, the service is considered in progress and is no longer eligible for a refund.

 

Contractor Verification

Clients may request a full refund at any time before work has begun.

Once Build Certain Consulting has started researching contractors, reviewing publicly available information, preparing reports, or otherwise performing the requested services, the service is considered in progress and is no longer eligible for a refund.

 

Incomplete Submissions

If additional information is required to complete the requested service, Build Certain Consulting may contact the Client before work begins.

If the required information is not provided within a reasonable period, the request may be canceled. Any refund will be determined based on whether work has already begun.

 

Duplicate Payments

If a payment is submitted more than once due to a processing error or duplicate transaction, Build Certain Consulting will promptly refund the duplicate payment after verification.

 

Refund Processing

Approved refunds will be issued to the original payment method whenever possible.

Refund processing times are determined by the payment processor and the Client's financial institution and may vary.

 

Services Already Delivered

Once a consultation has been completed or a report has been delivered, the service is considered fulfilled and is not eligible for a refund solely because the Client disagrees with the findings, recommendations, or conclusions.

 

Exceptional Circumstances

Build Certain Consulting understands that unexpected situations can occur.

Refunds or fee waivers outside of this policy may be approved at our sole discretion when warranted by the circumstances.

Questions regarding cancellations or refund requests should be directed to Build Certain Consulting as soon as possible so that we can assist you promptly.


Disclaimer & Limitation of Liability
 

Build Certain Consulting provides independent residential construction consulting services intended to assist homeowners in making more informed decisions during residential construction, renovation, and improvement projects.

Our services are consultative and educational in nature and should not be interpreted as guarantees, certifications, warranties, or professional services requiring state licensure.


No Professional Design or Construction Services

Build Certain Consulting is not a licensed contractor, architect, engineer, home inspector, attorney, or financial advisor acting on behalf of the Client.

Our services do not replace the need for licensed professionals where required by law or appropriate for a specific project.

Clients are responsible for obtaining any professional advice or services necessary for their individual circumstances.


Independent Information Only

All reports, consultations, observations, analyses, and recommendations are based on:

  • Information provided by the Client.

  • Documents voluntarily submitted by the Client.

  • Publicly available information available at the time services are performed.

  • Professional experience and judgment.

Information may change after our services have been completed.


No Guarantees

Build Certain Consulting does not guarantee:

  • Contractor performance.

  • Workmanship.

  • Project costs.

  • Construction schedules.

  • Permit approvals.

  • Code compliance.

  • Product performance.

  • Project outcomes.

  • Future business practices of any contractor.

  • Accuracy or completeness of third-party information.

Past performance, licensing status, business history, online reviews, and publicly available records should not be interpreted as guarantees of future performance.


No Contractor Endorsements

Contractor Verification is intended to assist homeowners by reviewing publicly available information.

Build Certain Consulting does not recommend, endorse, certify, approve, rank, or guarantee any contractor.

The final decision to hire, retain, or dismiss a contractor remains solely with the Client.


Client Decision-Making

All decisions regarding:

  • Contractor selection

  • Contract execution

  • Project scope

  • Budget

  • Scheduling

  • Construction methods

  • Payments

  • Change orders

remain solely the responsibility of the Client.

The Client acknowledges that Build Certain Consulting provides information to support decision-making but does not make decisions on the Client's behalf.


Third-Party Information

Our reports may reference information obtained from government agencies, licensing authorities, public records, business registrations, contractor websites, and other publicly available sources.

Build Certain Consulting does not control or verify the ongoing accuracy, completeness, or availability of information maintained by third parties.


Limitation of Liability

To the fullest extent permitted by applicable law, Build Certain Consulting's liability arising out of or relating to its services shall be limited to the amount actually paid by the Client for the specific service giving rise to the claim.

Build Certain Consulting shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to lost profits, construction delays, increased project costs, loss of opportunity, emotional distress, or damages arising from the actions or omissions of third parties.

Nothing in this Agreement is intended to limit liability where such limitation is prohibited by applicable law.


Client Acknowledgement

The Client acknowledges that:

  • Residential construction projects involve inherent risks and uncertainties.

  • Contractor performance cannot be predicted or guaranteed.

  • Construction pricing and schedules may change.

  • Publicly available information may change after services are completed.

  • The Client remains solely responsible for all project decisions.

By requesting services, the Client acknowledges that they understand these limitations and agree to rely on their own judgment, together with any advice obtained from appropriately licensed professionals, when making project decisions.

Conflict of Interest & Independence
 

Build Certain Consulting is committed to providing objective, independent, and unbiased consulting services.

Our business is founded on the principle that homeowners deserve clear, transparent information to help them make informed construction decisions without outside influence.


Independent Consulting

Build Certain Consulting operates independently of contractors, subcontractors, suppliers, manufacturers, insurance companies, lenders, and other businesses involved in residential construction projects.

Our recommendations, observations, and reports are based solely on the information available during our review and our independent professional judgment.


No Referral Fees or Kickbacks

Build Certain Consulting does not accept or solicit:

  • Referral fees

  • Kickbacks

  • Commissions

  • Incentive payments

  • Gifts intended to influence recommendations

  • Compensation for directing clients to specific contractors, suppliers, or service providers

Our consulting services are paid solely by our clients.


No Preferred Contractor Program

Build Certain Consulting does not maintain a preferred contractor list or endorse specific contractors.

Contractor Verification services are intended to provide homeowners with independently gathered information from publicly available sources to assist in evaluating contractors.

The decision to hire or retain any contractor remains solely with the Client.


Objective Reviews

Quote Review Analysis and Contractor Verification reports are prepared using consistent evaluation methods intended to provide fair and objective information based on the documentation and publicly available information available at the time of review.

Our goal is to identify observations, potential risks, questions, and areas that may warrant additional discussion between the Client and their contractor.


Vendor Relationships

From time to time, Build Certain Consulting may utilize third-party software, payment processors, scheduling platforms, website providers, or other business service providers necessary to operate our business.

These business relationships do not influence our consulting opinions or the information contained in our reports.


Future Partnerships

If Build Certain Consulting enters into a business relationship that could reasonably be perceived as influencing our independence regarding a particular client engagement, we will disclose that relationship to the affected client before providing the related consulting service.


Our Commitment

Our commitment is to provide homeowners with honest, professional, and independent consulting services based on the information available at the time of review.

Maintaining our independence is fundamental to our business, and we believe our clients are best served when our advice is free from financial incentives or outside influence.

Document Retention Policy
 

Build Certain Consulting maintains business records necessary to provide professional consulting services, comply with applicable legal and financial obligations, and maintain accurate business records.

  • Protecting the interests of both the Client and Build Certain Consulting

Retention Period

Records are retained only for as long as reasonably necessary to fulfill the purposes described in this policy or as required by applicable law.

Retention periods may vary depending on the type of record and applicable legal, accounting, insurance, or business requirements.


Security of Records

Build Certain Consulting takes reasonable administrative and technical measures to protect client information from unauthorized access, disclosure, alteration, or destruction.

Access to client records is limited to individuals authorized to perform services on behalf of Build Certain Consulting.


Disposal of Records

When records are no longer needed, Build Certain Consulting will take reasonable steps to securely delete, destroy, or otherwise dispose of those records in a manner intended to protect client confidentiality.


Client Requests

Clients may contact Build Certain Consulting to request access to, correction of, or deletion of certain personal information, subject to applicable legal, contractual, insurance, and business recordkeeping requirements.

Some records may be retained despite a deletion request where retention is required or reasonably necessary for legal compliance, tax obligations, insurance purposes, fraud prevention, or the establishment, exercise, or defense of legal claims.


Confidentiality

Build Certain Consulting treats client information and submitted project documentation as confidential business records.

Client information will not be disclosed to third parties except:

  • With the Client's authorization;

  • As necessary to provide the requested services through trusted third-party providers (such as website hosting, scheduling, or payment processing);

  • As required by law; or

  • As reasonably necessary to protect the legal rights, safety, or property of Build Certain Consulting or others.


Policy Updates

This Document Retention Policy may be updated periodically to reflect changes in business operations, legal requirements, or industry best practices.

The most current version will always be available within the Client Terms & Policies.
